1. The Service
The Service enables the Customer to collect, manage, and publish customer reviews.
This includes functionality for importing customer data, sending review invitations, collecting responses, and managing review content within the platform.
The Service acts as a technical and operational tool that enables the Customer to carry out these activities.
2. Roles and Data Processing
The Customer acts as the data controller and Conlumina acts as a data processor in accordance with applicable data protection laws.
By using the Service, the Customer instructs Conlumina to process personal data on its behalf for the purpose of providing the Service.
The Customer determines the purposes and means of processing personal data submitted to the Service, including which customers to contact, when to contact them, and through which communication channels.
Conlumina processes personal data solely on behalf of the Customer and does not independently determine the purposes or means of processing beyond what is necessary to provide the Service.
3. Customer Responsibilities
The Customer is solely responsible for:
- Ensuring a valid legal basis for processing personal data
- Ensuring that any communication sent via the Service complies with applicable data protection and electronic communications laws
- Ensuring that customer data uploaded to the Service has been lawfully obtained
- Providing required information to data subjects regarding the processing of their personal data
The Customer shall ensure that its use of the Service complies with applicable laws and regulations.
4. Communications via the Service
The Service enables the Customer to send communications to its customers, including review invitations.
Conlumina does not initiate communication independently and acts solely on the Customer’s instructions as configured in the Service.
The Customer is solely responsible for the legality, content, and frequency of such communications.
5. Account and Access
The Customer is responsible for maintaining the confidentiality of its account credentials and for all activities that occur under its account.
The Customer shall ensure that access to the Service is limited to authorised users.
6. Sub-processors
Conlumina may engage third-party service providers to operate and deliver the Service, including providers of hosting, infrastructure, communication delivery, and analytics.
Such providers act as sub-processors and are bound by data protection obligations in accordance with applicable law.
7. Data Processing Agreement
The processing of personal data by Conlumina on behalf of the Customer is governed by the Data Processing Agreement (DPA), which forms an integral part of these Terms.
In the event of any conflict between these Terms and the DPA, the DPA shall prevail with regard to the processing of personal data.
8. Data Upon Termination
Upon termination of the Service, personal data will be deleted or returned in accordance with the Data Processing Agreement.
9. Availability and Changes
Conlumina strives to maintain high availability of the Service but does not guarantee uninterrupted access.
We reserve the right to modify, update, or discontinue parts of the Service at any time.
10. Fees and Payment
Fees for the Service are defined in the applicable agreement or pricing plan.
Unless otherwise agreed, fees are payable in advance and are non-refundable.
11. Limitation of Liability
To the maximum extent permitted by law, Conlumina shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the use of the Service.
Conlumina shall not be liable for any damages resulting from the Customer’s use of the Service in violation of applicable laws or these Terms.
12. Indemnification
The Customer shall indemnify and hold harmless Conlumina from any claims, damages, or liabilities arising from the Customer’s use of the Service, including unlawful processing of personal data or unlawful communications.
13. Term and Termination
These Terms apply for as long as the Customer uses the Service.
Either party may terminate the agreement in accordance with the applicable agreement or pricing plan.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Sweden.
Any disputes shall be subject to the exclusive jurisdiction of Swedish courts.
